Terms of Service

These Terms of Service govern all services purchased from Brian Congelliere AI Services (Nexura AI) ("Nexura AI", "we", "us"), registered at 61957 Oleander Dr, Joshua Tree, CA 92252, United States. By purchasing a plan or engaging us for a project you agree to these terms.

1. Services

We provide AI consulting, workflow automation, custom AI agent development, and related advisory services. The exact scope of each engagement is set out in a written proposal or statement of work agreed before payment. Anything not listed in that scope is out of scope.

2. Plans and billing

• Starter: $199 USD per project, charged in full at kickoff.
• Growth: $499 USD per month, billed monthly in advance.
• Enterprise: $1,299 USD per month, billed monthly in advance.

Subscriptions renew automatically on the same calendar day each month until cancelled. Prices are exclusive of any applicable taxes. Failed payments may result in suspension of service after written notice.

3. Client responsibilities

You agree to provide timely access to systems, data, and stakeholders required to deliver the work, and to hold the rights necessary to share any data you give us. Delays caused by missing access may extend delivery timelines.

4. Deliverables and intellectual property

On full payment, you own the custom deliverables produced specifically for you, including configurations, prompts, and documentation. We retain ownership of our pre-existing tools, frameworks, and know-how, and grant you a perpetual, non-exclusive licence to use them as embedded in your deliverables.

5. Third-party services

Engagements may rely on third-party AI models and platforms. Those services are governed by their own terms, and usage charges billed by those providers are your responsibility unless stated otherwise in writing.

6. Acceptable use

You may not use our services or deliverables for unlawful activity, to generate deceptive content, to infringe third-party rights, or in any way that violates the acceptable-use policies of the underlying AI providers.

7. Warranties and limitation of liability

Services are provided with reasonable skill and care. AI systems are probabilistic and we do not warrant that outputs will be error-free. To the maximum extent permitted by law, our total liability arising from an engagement is limited to the fees paid by you for that engagement in the preceding twelve months. We are not liable for indirect or consequential loss.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform or receive the services.

9. Termination

You may cancel a monthly plan at any time, effective at the end of the current billing period. Either party may terminate immediately for material breach that is not remedied within 14 days of written notice.

10. Governing law

These terms are governed by the laws of the State of California, United States, and the courts of California have exclusive jurisdiction.
